Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Horatio mobile application, website located at horatio.app, and related services (collectively, the “Services”) operated by Horatio Labs Pty Ltd (“Horatio”, “we”, “our”, or “us”).

By accessing or using the Services, you agree to these Terms.

If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 13 years old to use the Services.

By using the Services, you represent that:

  • you meet the minimum age requirement
  • you are legally capable of entering into these Terms
  • your use of the Services complies with applicable laws

2. The Services

Horatio provides tools designed to help users rehearse, study, and interact with scripts and dialogue using AI-assisted features, including voice-generated rehearsal playback.

Features may evolve over time and may include:

  • script importing
  • rehearsal playback
  • AI-generated voice performance
  • script export tools
  • account management
  • subscription features

Some features may be experimental, beta, or subject to change without notice.

3. Accounts

To access certain features, you may be required to create an account using supported authentication providers, including:

  • Apple
  • Google

You are responsible for:

  • maintaining the security of your account
  • activities that occur under your account
  • ensuring your account information remains accurate

You must not:

  • impersonate another person
  • share accounts in a misleading or abusive manner
  • access accounts you do not own

4. User Content

You retain ownership of scripts, dialogue, and other content you upload or create using the Services (“User Content”).

By using the Services, you grant Horatio a limited license to process User Content solely for the purpose of operating and providing the Services.

This may include:

  • generating rehearsal audio
  • syncing account-related content
  • exporting scripts
  • enabling core functionality

Horatio does not claim ownership of your User Content.

5. User Responsibilities

You are responsible for ensuring you have the appropriate rights, permissions, or authority to upload, process, rehearse, or use any scripts or materials through the Services.

You agree not to use the Services:

  • for unlawful purposes
  • to infringe intellectual property rights
  • to harass, abuse, threaten, or harm others
  • to generate deceptive, fraudulent, or malicious content
  • to interfere with or disrupt the Services
  • to attempt unauthorised access to systems or accounts
  • to upload malware, harmful code, or spam

Horatio does not actively monitor all content uploaded through the Services, but reserves the right to suspend or terminate accounts that violate these Terms.

6. AI-Generated Audio and Third-Party Providers

Certain features rely on third-party AI and infrastructure providers, including:

  • ElevenLabs
  • Supabase
  • Firebase

By using voice-generation features, you acknowledge that:

  • portions of your scripts or dialogue may be transmitted to these providers for processing
  • generated outputs may vary in quality, accuracy, tone, or availability
  • AI-generated content may contain unexpected or imperfect results

Horatio does not guarantee specific artistic, technical, or performance outcomes.

7. Subscriptions and Billing

Certain features of the Services may require a paid subscription.

Subscriptions may be offered through:

  • Apple App Store
  • Google Play

Available plans may include:

  • weekly subscriptions
  • monthly subscriptions
  • free trial offers

Subscription pricing, availability, and features may change over time.

a. Auto-Renewal

Subscriptions automatically renew unless cancelled through the applicable platform provider before the renewal date.

b. Cancellation

You may cancel your subscription at any time through your Apple App Store or Google Play account settings.

If cancelled:

  • access continues until the end of the current billing period
  • no partial refunds are guaranteed unless required by law or platform policy
c. Refunds

Payments and refunds are generally handled by the applicable platform provider.

Refund requests are subject to:

  • Apple App Store policies
  • Google Play policies

8. Intellectual Property

The Services, including:

  • software
  • branding
  • interface design
  • graphics
  • logos
  • original content

are owned by Horatio Labs Pty Ltd or its licensors and are protected by intellectual property laws.

You may not:

  • copy
  • redistribute
  • reverse engineer
  • modify
  • commercially exploit

any part of the Services except as permitted by law.

9. Privacy

Your use of the Services is also governed by our Privacy Policy.

Please review the Privacy Policy to understand how information is collected and used.

10. Availability and Changes

Horatio is provided on an “as is” and “as available” basis.

We may:

  • modify features
  • suspend functionality
  • discontinue parts of the Services
  • introduce new limitations or requirements

without prior notice.

We do not guarantee:

  • uninterrupted availability
  • error-free operation
  • permanent access to any feature or content

11. Limitation of Liability

To the maximum extent permitted by law, Horatio Labs Pty Ltd and its affiliates will not be liable for:

  • indirect or consequential damages
  • lost profits
  • lost data
  • loss of goodwill
  • business interruption
  • inaccuracies in generated outputs
  • reliance on AI-generated content
  • service outages or technical failures

Your use of the Services is at your own risk.

Where liability cannot legally be excluded, it is limited to the minimum amount permitted by law.

12. Disclaimer of Warranties

The Services are provided without warranties of any kind, express or implied.

We do not warrant that:

  • the Services will meet your expectations
  • generated audio will be accurate or suitable
  • the Services will always be secure or available
  • defects will always be corrected

13. Termination

We may suspend or terminate access to the Services if:

  • you violate these Terms
  • we reasonably believe misuse has occurred
  • required by law
  • necessary to protect the Services or other users

You may stop using the Services at any time.

Account deletion features may be available within the app.

14. Governing Law

These Terms are governed by the laws of Queensland, Australia, without regard to conflict of law principles.

You agree that disputes relating to the Services will be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

15. Changes to These Terms

We may update these Terms from time to time.

If changes are made:

  • updated Terms will be posted online
  • the Effective Date will be updated

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
